Respondents Eulala and Russel Shute, residents of Washington state, purchased tickets for a cruise on petitioner Carnival Cruise Lines through a local travel agent. The tickets, which were sent to the Shutes after they had paid the fare, constituted the passage contract. The ticket face directed passengers to read the terms and conditions printed on subsequent pages. One of these terms was a forum-selection clause stipulating that all disputes arising from the contract must be litigated in a court located in Florida. The Shutes did not negotiate this term. After Mrs. Shute was injured when she slipped and fell on the ship in international waters, she and her husband filed a negligence suit against Carnival in the U.S. District Court for the Western District of Washington. Carnival, a Florida-based corporation, moved for summary judgment, asserting the forum-selection clause mandated dismissal. The Shutes conceded they had notice of the clause’s existence within the contract.
